1. Acceptance of Terms

By accessing or using SwiftRecap ("Services"), operated by OKO Labs Inc. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

These Terms constitute a legally binding agreement between you and OKO Labs Inc., a Florida corporation with its principal place of business at 200 South Andrews Ave, Suite 504, Fort Lauderdale, FL 33301.

2. Description of Services

SwiftRecap provides curated technology and artificial intelligence news via email newsletters and related web content. Our Services include:

• Email newsletter delivery on selected cadences (daily, weekly, bi-weekly)
• Web-based access to newsletter archives
• Topic personalization based on user preferences
• Search and browsing functionality for historical content

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without notice.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 16 years of age to use our Services. By subscribing, you represent and warrant that you have the legal capacity to enter into these Terms.

3.2 Account Information

When you subscribe, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

5. Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights
• Distribute unsolicited commercial email (spam) through our platform
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated means (bots, scrapers) to access our Services without written permission

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THE CONTENT IS ACCURATE, RELIABLE, OR COMPLETE; ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR OUR EMAILS WILL NOT BE BLOCKED BY SPAM FILTERS.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US (IF ANY) FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS LESS.

10. Indemnification

You agree to defend, indemnify, and hold harmless OKO Labs Inc., its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from your use of our Services, violation of these Terms, or violation of any third-party right.

This indemnification obligation survives the termination of these Terms and your use of our Services.

11. Termination

11.1 By You

You may terminate your subscription at any time by clicking the "Unsubscribe" link in any email or contacting us at support@swiftrecap.com.

11.2 By Us

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including violation of these Terms or conduct harmful to other users.

11.3 Effect of Termination

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Florida. Any dispute shall be resolved through binding arbitration in Fort Lauderdale, Florida. Class Action Waiver: You agree that any proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

13. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OKO Labs Inc. If any provision is found unenforceable, the remaining provisions shall continue in full force. We may modify these Terms at any time with 30 days notice via email.
